These DebtExperts.net User Program Terms and Conditions (the “Terms”) govern the use and access of the DebtExperts.net platform, a service offered by Inbounds LLC d/b/ DebtExperts.net (“DebtExperts.net”), by you, the User. By accessing or using the platform, you agree to these Terms. DebtExperts.net may modify these Terms at any time by updating them on our website. Continued use of the platform after changes indicates your acceptance.

1. Platform Scope. The DebtExperts.net platform allows Users to purchase prequalified leads related to legal services. The quality, criteria, and nature of these leads are determined and managed by DebtExperts.net.

2. Qualified Leads. A lead is deemed qualified based on criteria determined by DebtExperts.net. The decision of DebtExperts.net concerning lead qualification is final.

3. Usage Channels and Restrictions. Leads purchased are for the User's internal business use and should not be redistributed, resold, or misused. The User agrees to use the leads in compliance with all applicable laws and regulations.

4. Payment. Payment for purchased leads is based on rates specified in the platform. DebtExperts.net reserves the right to adjust lead pricing without prior notice. Payments for leads are non-refundable.

5. User Representations and Responsibilities.

a. The User will not misrepresent the source or nature of the leads purchased.

b. The User has sole responsibility for the usage, follow-up, and any business activity related to the purchased leads.

c. The User agrees to comply with all relevant laws, including privacy and communication regulations.

d. Any public communication by the User about DebtExperts.net or its platform must be approved in writing by DebtExperts.net.

6. Intellectual Property. The DebtExperts.net platform, including its content, graphics, and other intellectual property, is owned by Inbounds LLC. Users are granted limited access rights only for the intended purpose of the platform.

7. Term and Termination. Users can cease using the platform at their discretion. DebtExperts.net retains the right to terminate User access for breaches of these Terms or platform misuse.

8. Disclaimer of Warranties. THE DebtExperts.net PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, DebtExperts.net MAKES NO WARRANTIES (INCLUDING IMPLIED WARRANTIES OF PURPOSE AND NON-INFRINGEMENT), GUARANTEES, REPRESENTATIONS, EXPRESS, IMPLIED, ORAL OR OTHERWISE. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, DebtExperts.net DOES NOT WARRANT OR GUARANTY THE QUALITY, ACCURACY, OR VALIDITY OF LEADS, NOR ANY SPECIFIC OUTCOMES FROM THE USE OF SUCH LEADS. THE Debt Experts.net PLATFORM MAY CONTAIN BUGS, ERRORS, PROBLEMS OR OTHER LIMITATIONS. DebtExperts.net ACCEPTS NO LIABILITY, WHATSOEVER, TO USERS OR ANY THIRD-PARTY, FOR ANY SECURITY METHODS OR PRIVACY PROTECTION PROCEDURES OF ANY PARTY. DebtExperts.net DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS AND IMPLIED, THAT ANY PARTY’S SECURITY METHODS AND PRIVACY PROTECTION PROCEDURES WILL BE UNINTERRUPTED AND ERROR-FREE. DebtExperts.net HAS NO LIABILITY FOR USERS’ USE OF, OR INABILITY TO USE, THE PLATFORM, AND DISCLAIMS ANY AND ALL WARRANTIES THAT USERS’ ACCESS TO THE DebtExperts.net PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE. DebtExperts.net MAKES NO GUARANTEES AND ACCEPTS NO RESULTING LIABILITY FOR FAILURE TO PROVIDE LEADS WITHIN ANTICIPATED TIMEFRAMES.

10. Limitation of Liability. TO THE EXTENT PERMITTED BY LAW, EXCEPT FOR USER’S BREACH OF INTELLECTUAL PROPERTY RIGHTS AND/OR PROPRIETARY INTERESTS RELATING TO THE AMP’D LEGAL PLATFORM, IN NO EVENT SHALL EITHER PARTY BE LIABLE UNDER THE TERMS FOR ANY LOST PROFITS; OR CONSEQUENTIAL, SPECIAL, INDIRECT, EXEMPLARY, OR PUNITIVE DAMAGES WHETHER IN CONTRACT, TORT OR ANY OTHER THEORY, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. TO THE EXTENT PERMITTED BY LAW, EXCEPT FOR: (a) USER’S BREACH OF INTELLECTUAL PROPERTY RIGHTS, CONFIDENTIALITY OBLIGATIONS AND/OR PROPRIETARY INTERESTS RELATING TO THE AMP’D LEGAL PLATFORM; AND/OR (b) USER’S INDEMNIFICATION OBLIGATIONS ARISING HEREUNDER; EACH PARTY’S AGGREGATE LIABILITY UNDER THE TERMS IS LIMITED TO THE NET AMOUNT PAID BY OR TO CLIENT DURING THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

11. Mutual Indemnification. Both you and Amp’d Legal agree to defend, indemnify, and hold each other, along with respective clients, subsidiaries, successors, assignees, owners, directors, officers, employees, contractors, representatives, and agents harmless from any and all claims, governmental investigations, demands, actions, proceedings, real or threatened, and all losses, judgments, awards, settlements, damages, fines, injuries, penalties, and costs (including reasonable attorney's fees and expenses) that arise from or are related to (i) any breach or alleged breach of this Agreement by the indemnifying party or someone acting on its behalf, or (ii) the indemnifying party's negligence or misconduct. If the indemnified party chooses to have the indemnifying party provide defense, the indemnifying party will (i) secure legal representation that the indemnified party finds reasonably acceptable; (ii) allow the indemnified party to be involved in the defense with its own attorney at its own expense; and (iii) not come to any settlement agreement in the action without prior written approval from the indemnified party (which will not be unreasonably denied).

12. Data Protection. DebtExperts.net commits to protecting User data. No EU or UK customer or prospect data will be knowingly transmitted without proper consent.

13. Miscellaneous.

a. Governing Law; Venue. These Terms are governed by Delaware law. Disputes will be settled in the state and federal courts in New Castle County, Delaware.

b. Assignment. Users may not assign or transfer their rights or obligations without written consent from DebtExperts.net.

c. Severability. If any term is unenforceable, it will be interpreted to accomplish its intended purpose, and remaining terms will remain in effect.

d. Entire Agreement. These Terms represent the complete agreement between DebtExperts.net and the User concerning the platform.

e. Waiver of Jury Trial. Each party irrevocably and unconditionally waives any right it may have to a trial by jury in respect of any legal action arising out of or relating to the Terms or the transactions contemplated hereby.
